Bloomreach Academy Product Appendix

1. INITIAL PROVISIONS

1.1. This Bloomreach Academy Product Appendix (hereinafter “Appendix”) governs the access to and use of the Bloomreach Academy (hereinafter “Services”) and is entered into by and between Bloomreach and the entity or person agreeing to the terms of this Appendix (hereinafter “Customer”).

1.2. This Appendix forms an integral part and shall be read in conjunction with the Sales Order or any other applicable agreement between the parties (jointly, the “Agreement”).

2. DEFINITIONS

In addition to terms defined elsewhere in the Agreement, the following terms have the meaning set forth below:

2.1. “Authorized User” means an authorized natural person, who participates in a Course as or on behalf of the Customer.

2.2. “Course” means courses, training, workshops, coaching, counselling, or any other meeting with the aim of transferring and/or increasing knowledge and/or skills in the then-current training curriculum.

2.3. “Open Course” means a course in which Authorized User(s) from different companies and/or organizations may participate.

2.4. “Private Course” means a course with Authorized User(s) exclusively from one company and/or organization.

3. LICENSE TERMS

3.1. Subject to this Appendix and Bloomreach policies, Bloomreach hereby grants Customer a limited, non-exclusive, transferable (subject to the terms of this Appendix), worldwide, revocable license to access and use the Services and their content, solely for Customer‘s internal and non-commercial educational purposes.

3.2. A License may be transferred within the same company from one Authorized User to another a maximum of one time per 12 months, only if the Course is purchased as a subscription.

3.3. All rights not expressly granted to the Customer are reserved by Bloomreach.

3.4. Customer agrees to ensure that Authorized User(s) create, access, and/or use only one user Account per license, unless otherwise permitted by Bloomreach, and will not share access to such Account or access information for the Account with any third party. 

3.5. In addition to any other restrictions included in the Agreement, Customer will not, directly or indirectly, during, or after the applicable term: (a) permit the Services to be used or accessed by or for the benefit of unauthorized third parties, (b) copy or distribute their content for commercial purpose, (c) use the Services for the purposes of competing with Bloomreach.

4. REGISTRATION AND CONFIRMATION

4.1. Private Courses. Unless agreed otherwise, the Private Course registration shall be done by requesting an offering from Bloomreach, whereafter the agreement relating to participation in the Private Course is established through full acceptance of the tender.

4.2. Open Courses. Unless agreed otherwise, the Open Course registration shall be done in writing by sending the completed registration form, by e-mail, or as instructed on the Bloomreach Academy website. Bloomreach, by sending a confirmation, considers the participation in the Open Course sealed. Bloomreach reserves the right to refuse any registration, without the need to give any reason, unless agreed otherwise herein.

5. CHANGE OF COURSE DATE, CANCELATION, AND IMPEDIMENT

5.1. Unless agreed otherwise, a Private Course can be rescheduled: (a) without charge four (4) weeks prior to the Private Course commencement date originally scheduled by the parties (hereinafter “Start Date”); (b) at 50% of the Course fee less than (4) weeks but not later than one (1) week prior to the Private Course Start Date; or (c) and at a full non-refundable charge less than one (1) week prior to the In-Company Course Start Date.

5.2. Open Courses may be cancelled by the Customer at any time, but no later than 5 business days prior to the first live session. Cancellation notification must be sent to [email protected], in order to be recognized by Bloomreach. Cancellation by Customer of an Open Course after the start of the Course is not possible.

5.3. If an Authorized User is unable to participate in the Course, Customer may send another Authorized User, provided that the substitute Authorized User is registered with Bloomreach before the first day the Course commences. The Customer may request a transfer of the Authorized User within the same Course to another date or dates. In the event of such transfer, Bloomreach must be notified at least one (1) week before the Course commencement date. If the transfer is within one (1) week before the Course commencement date, 25% of the Course fee is payable.

5.4. Bloomreach reserves the right to cancel the Course within three (3) days before the first Course. Bloomreach will refund, or otherwise remedy the Customer, unless provided otherwise.

6. EXAMS, RETAKES, AND ATTENDANCE

6.1. Retake. Authorized User(s) are allowed to retake the failed exam only once.

6.2. Demo environment. Authorized User(s) will be granted access to a demo environment for practicing course tasks within one (1) calendar day after enrolment. For the avoidance of doubt, not all courses offer access to a Demo environment.

6.3. Attendance in advanced courses is contingent upon the completion of prerequisites. 

7. ZOOM

7.1. All Authorized Users attending an online Course must have access to Zoom in order to participate in live sessions. By agreeing to these terms, you confirm that you have access to Zoom and agree to use it in accordance with the terms of the Agreement.
